End User License Agreement

Effective August 14, 2026

This End-User License Agreement (the “Agreement”) is a legal agreement between the purchaser (“You” or “Licensee”) and the American Society of Estate Liquidators LLC, a New Jersey limited liability company (“ASEL”). This Agreement governs your use of the ASEL proprietary material (the “Licensed Material”), including all related documentation. The “Licensed Material” is licensed, not sold, to you.

Refunds are governed by ASEL’s Terms of Use.

BY CHECKING THE AGREEMENT BOX, DOWNLOADING OR USING THE APPLICATION LICENSED MATERIAL YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT; (B) REPRESENT THAT YOU ARE OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT; AND (C) ACCEPT THIS AGREEMENT AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD OR USE THE LICENSED MATERIAL.

License

ASEL hereby grants you, and you accept, a non-exclusive and non-transferable license to view, use and display the Licensed Material on the following terms and conditions only:

1. You agree to use the Licensed Material in accordance with this Agreement, including any related documentation and solely for Licensee’s internal business purposes.
2. You agree to make copies only as necessary for Licensee’s internal business purposes and all copies of the Licensed Materials made by Licensee shall remain the exclusive property of ASEL, will be subject to the terms and conditions of this Agreement and must include all trademark, copyright, patent and other intellectual property rights notices contained in the original.
3. You may not copy, paste or print the Licensed Material except as expressly permitted by this Agreement and any provisions of use provided with the Licensed Material.
4. You may not transmit, transfer, sublicense or sell copies of the Licensed Material in whole or in part. If you transfer possession of any copy, portion or modification of the Licensed Material to any third party, your license is automatically terminated. This includes transmittal by electronic communication or in print to a third party for their unauthorized use and adaptation, as well as through posting or sharing on social media or other similar platforms. Any attempt to sell or otherwise transfer the Licensed Material shall be null and void. Such termination will be in addition to and not in lieu of any equitable, civil, or other remedies available to ASEL.
5. You agree that any materials in print format that may be included with this license (for example, materials printed on demand) or portions thereof ordered are licensed for your personal use only and may not be transferred or sold under any condition. All terms of this Agreement also apply to these print materials.

Term

This Agreement shall terminate upon the conditions discussed elsewhere in this Agreement, or if you fail to comply with any term or condition of this Agreement. Upon such termination, you agree to immediately discontinue all access to the Licensed Material.

ASEL’s Rights

You acknowledge that all rights (including without limitation, copyrights, trademarks and trade secrets) in the Licensed Material are the sole and exclusive property of ASEL. By accepting this Agreement, you do not become the owner of the Licensed Material, but you do have a limited license to use it in accordance with the provisions of this Agreement and any provisions of use provided with the Licensed Material. You agree to protect the Licensed Material from unauthorized use, upload, download, reproduction, or distribution. You further agree not to translate, decompile, disassemble or otherwise reverse engineer the Licensed Material.

DISCLAIMER

LICENSED MATERIAL(S) ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE RESULTS OR PERFORMANCE, AND THE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION OF THE LICENSED MATERIAL IS ASSUMED BY YOU. IN NO EVENT WILL ASEL BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE LICENSED MATERIAL(S).

General

This Agreement is governed by and shall be construed in accordance with the laws of the State of New Jersey, without giving effect to any principles of conflicts of law.

Any action, suit, claim, or proceeding arising out of or relating to this Agreement or the Licensed Material shall be brought exclusively in the Superior Court of New Jersey, Law Division, Warren County, or in the United States District Court for the District of New Jersey. You irrevocably consent and submit to the personal jurisdiction of those courts, agree that venue is proper in those courts, and waive any objection to those courts on the ground of lack of personal jurisdiction, improper venue, or inconvenient forum.
