GENERAL WARRANTY DISCLAIMER

PLEASE READ THIS GENERAL WARRANTY DISCLAIMER CAREFULLY. IT DISCLAIMS WARRANTIES THAT WOULD OTHERWISE APPLY TO ASEL’S PRODUCTS AND SERVICES.

  1. Nature of ASEL

American Society of Estate Liquidators LLC (“ASEL”) is a training, educational, and resource organization specializing in estate liquidation, operates the website at aselonline.com (the “Site”), and is not affiliated with, sanctioned by, accredited by, licensed by, or endorsed by any governmental body. ASEL is not a law firm, an accounting firm, or an appraisal firm, and does not provide legal, tax, accounting, or appraisal advice.

As used in this General Warranty Disclaimer, “ASEL Parties” means ASEL and its sole member, managers, officers, employees, agents, and contractors (in their capacity as such, and not any dues-paying member of ASEL), and ASEL’s successors and assigns (each, an “ASEL Party”). Every disclaimer set forth below is made by, and for the benefit of, ASEL and each of the ASEL Parties.

  1. No Guarantee of Results or Recognition

ASEL does not guarantee the success of any business, any level of revenue or income, or any particular result as a consequence of membership in ASEL or the use of ASEL’s products, courses, certifications, materials, or services.

No certification, designation, or membership category conferred by ASEL constitutes a license, accreditation, or other authorization to practice any trade or profession, and no ASEL course satisfies any licensing, bonding, or continuing education requirement that may apply to you. ASEL makes no representation or warranty that any certification, designation, or membership will be recognized or accepted by any governmental body, court, insurer, client, or other third party.

  1. Products and Services Provided “As Is”

All material, files, forms, templates, courses, and other products and services made available by ASEL, whether by download or otherwise, are distributed on an “AS IS” and “AS AVAILABLE” basis. ASEL MAKES NO WARRANTY WHATSOEVER REGARDING ITS PRODUCTS AND SERVICES, INCLUDING ANY (A) WARRANTY OF MERCHANTABILITY, (B) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, (C) WARRANTY OF TITLE OR NON-INFRINGEMENT, OR (D) WARRANTY ARISING BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE.

ASEL does not warrant that the Site or any product or service will be available without interruption, that it will be error-free or secure, or that it is free of viruses or other harmful components.

  1. No Warranty of Legal Sufficiency

ASEL does not warrant that any form, template, contract, checklist, or other document it makes available is valid, enforceable, complete, or legally sufficient in any jurisdiction, or that it complies with any statute, regulation, or licensing requirement applicable to you or to your business. Forms and templates are provided as a starting point for discussion with your own attorney and are governed by the separate Form and Template Terms of Use and Disclaimer that accompanies them.

  1. Accuracy and Currency

Information provided by ASEL is general in nature and may not reflect the most current legal or industry developments. Laws and practices vary by jurisdiction and change over time. ASEL has no obligation to update any material after it has been provided, or to notify any person that material has become outdated.

  1. Member Directory and Member Information

ASEL’s member directory, and any listing, profile, certification, or designation appearing on the Site, reflects information supplied by the member. Except as expressly described in the published requirements for the applicable membership category, ASEL does not independently verify, investigate, or confirm any member’s identity, credentials, licensure, bonding, insurance, background, business practices, or the accuracy of any listing.

ASEL expects all of its members to abide by its Code of Ethics, and ASEL may terminate a member’s membership when ASEL receives sufficient information to determine that the member has violated the Code of Ethics or otherwise failed to act in an ethical manner in the handling of an estate sale. ASEL does not, however, supervise, direct, or control any member or estate liquidator, and does not guarantee or warrant the conduct, competence, honesty, or work product of any member or estate liquidator. Inclusion in the member directory is not an endorsement or recommendation, and any decision to engage an estate liquidator, and any agreement you enter into with one, is solely your own.

  1. Third-Party Content

The Site and ASEL’s courses and publications may include content, materials, or presentations authored or delivered by third parties, and may reference or link to third-party products, services, and resources. ASEL makes no warranty regarding any third-party content, and its inclusion does not constitute an endorsement of any third-party product, service, or provider.

  1. No Other Warranties

This General Warranty Disclaimer is the complete statement of ASEL’s warranty position. No ASEL Party is authorized to make, and you may not rely upon, any warranty, representation, or guarantee concerning ASEL’s products or services beyond what is stated here in writing. Statements made in advertising, on the Site, in course materials, in correspondence, or orally by any officer, sole member, employee, contractor, or representative of ASEL do not create any warranty.

Testimonials, endorsements, case studies, and examples published by ASEL describe the individual experiences of the persons who provided them. They are not statements of fact regarding the results you can expect, are not representative of typical results, and do not create any express warranty.

  1. Sole Risk

Downloading and/or using ASEL’s products or services is at the user’s sole risk.

  1. Your State’s Law; Savings

If the law of your state prohibits or restricts the exclusion of any implied warranty or any other disclaimer set forth above, that exclusion does not apply to you to the extent prohibited, and any implied warranty that cannot lawfully be excluded is limited in duration to the shortest period permitted by that law. All other provisions of this General Warranty Disclaimer continue to apply to you in full. The provisions of this General Warranty Disclaimer are intended to be, and ASEL believes them to be, enforceable under New Jersey law, and no provision of this General Warranty Disclaimer is void, unenforceable, or inapplicable in New Jersey except as expressly stated herein.

Nothing in this General Warranty Disclaimer operates to limit or exclude any warranty or liability that cannot lawfully be limited or excluded, including in cases of fraud, fraudulent misrepresentation, or willful misconduct. If any provision of this General Warranty Disclaimer is held unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

  1. Relationship to Other Terms

This General Warranty Disclaimer is incorporated into and forms part of ASEL’s Terms of Use and is subject to ASEL’s Limitation of Liability. The governing law, venue, and waiver of jury trial provisions of the Terms of Use apply to it.
